DealerSlate LLC — Terms and Conditions

1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the DealerSlate platform, including its web application, browser extensions, mobile integrations, SMS messaging program, and related services (collectively, the "Services") operated by DealerSlate LLC ("DealerSlate," "we," "us," or "our").

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must discontinue use of the Services immediately.

2. Description of Services

DealerSlate provides a cloud-based operations platform for automotive dealerships. Features include vehicle swap management, service reception, inventory tracking, payment processing, reporting, printing, and related dealership workflow tools. Access is provisioned on a per-dealership, per-user basis.

3. User Accounts

  • Accounts are provisioned by your dealership administrator through Azure Active Directory integration.
  • You are responsible for maintaining the security of your account credentials.
  • You must not share your account or allow unauthorized access to the Services.
  • You agree to notify your dealership administrator immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable law or regulation.
  • Attempt to gain unauthorized access to any part of the Services, other user accounts, or related systems.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Reverse engineer, decompile, or disassemble any aspect of the Services.
  • Use the Services to transmit malicious code, spam, or unauthorized communications.

5. DealerSlate SMS Program

DealerSlate operates a transactional SMS messaging program on behalf of subscribing automotive dealerships. By providing your mobile number and signing the SMS consent disclosure during the vehicle purchase process at a participating dealership, you consent to receive recurring automated text messages at the mobile number provided.

5.1 Purpose

SMS messages are strictly transactional and non-promotional. Messages may include:

  • Notifications when license plates have arrived and are ready for pickup
  • Notifications when vehicle registration documents are available
  • Notifications when title documents have been received
  • Status updates when some documents have arrived while others are still pending
  • Pickup instructions and dealership contact information

5.2 Consent

Consent is collected by the dealership during the sales or finance transaction. Customers authorize text message notifications by signing the dealership's SMS consent disclosure included in the standard purchase documentation. This written consent is recorded in the dealership's Dealer Management System (DMS) and transmitted to DealerSlate. Only customers with consent on file receive messages.

5.3 Message Frequency and Rates

Message and data rates may apply. Customers typically receive 1–3 messages per vehicle purchase, sent only in response to document status changes.

5.4 Opt-Out and Help

5.5 Carrier Liability

Carriers are not liable for delayed or undelivered messages.

5.6 Privacy and SMS Terms

Your use of the SMS Program is also subject to our Privacy Policy and SMS Terms of Service, which describe how we handle mobile information and messaging consent data.

6. Intellectual Property

All content, features, and functionality of the Services — including but not limited to software, text, graphics, logos, and design — are the exclusive property of DealerSlate LLC and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your dealership's internal business operations only.

7. Data Ownership

Your dealership retains ownership of all data entered into the platform. DealerSlate will not access, use, or disclose your data except as necessary to provide the Services, comply with legal obligations, or as described in our Privacy Policy.

8. Service Availability

We strive to maintain high availability of the Services but do not guarantee uninterrupted access. The Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

9. Limitation of Liability

To the maximum extent permitted by law, DealerSlate LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services, including but not limited to loss of data, revenue, or business opportunity.

DealerSlate's total liability for any claim arising under these Terms shall not exceed the amount paid by your dealership for the Services during the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms or for any reason with reasonable notice. Your dealership may terminate use of the Services at any time by contacting us. Upon termination, your right to access the Services ceases immediately.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Bergen County, New Jersey.

13. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated revision date. Continued use of the Services after changes constitutes acceptance of the updated Terms.
